Agreement to Terms

Furthermore, you consent to adhere to all policies and any Additional Terms that are herein incorporated by reference. Arbitration & Class Action Waiver (Please Read Carefully)

Where such Additional Terms are applicable, they will be clearly presented for your thorough review either directly through the Sites or Services themselves, or they will be provided to you separately. In the event of any conflict or inconsistency between these primary Terms and any Additional Terms, the Additional Terms shall take precedence and control specifically for that particular Service. Based on a family’s clearly articulated needs and expressed preferences, LSP/LAL may furnish detailed information about various Participating Organizations and, with the family’s consent, forward their pertinent information to these providers to facilitate direct follow-up. Families also have the opportunity to meticulously review information about Participating Organizations and receive personalized, expert assistance via telephone from dedicated LSP/LAL advisors. Crucially, our services are offered at absolutely no charge to families; instead, Participating Organizations compensate LSP/LAL through established fees.
On specific sections of our Sites, particularly within the home care experience accessible on LSP/LAL subdomains, we proudly offer a highly engaging and conversational, AI-powered intake system. This innovative system is designed to assist families in comprehending private-pay, non-medical homecare options, providing real-time answers to their questions, generating a tailored and personalized list of potential providers, and facilitating swift connections (for example, through “connect now” features or by scheduling a call). This guided experience is meticulously crafted to significantly reduce effort and instill confidence in families as they navigate the next steps in their care journey; it is important to clarify that this system does not provide medical, legal, or financial advice and does not directly deliver care. For the purposes of quality assurance, safety protocols, troubleshooting, and continuous improvement of the Services, LSP/LAL personnel may review chat, voice, and SMS interactions, along with their corresponding transcripts or summaries.
As further elaborated upon below, participating communities and agencies operate as independent businesses, each bearing full responsibility for their own licensing, staffing, services offered, and pricing structures. It is crucial to understand that LSP/LAL does not control, recommend, or guarantee any specific community or agency, nor does LSP/LAL engage in the brokering, selling, or leasing of space or services. Additionally, it is important to note that some interactions may occur through various communication channels, including phone calls, SMS/text messages, emails, or voice/chat experiences. These interactions may be recorded or transcribed for quality control and compliance purposes. Your active use of these features is explicitly subject to the provisions outlined in the “Privacy and Consent to Communications,” “Recorded Telephone Communications,” and “Consent to Automatic Telephone Dialing System” sections, as well as our overarching Privacy Policy.
PARTICIPATING SENIOR HOUSING AND/OR CARE ORGANIZATIONS
Responsibility for services and care. Participating communities and home care agencies (collectively referred to as “Participating Organizations”) bear the sole and exclusive responsibility for the meticulous evaluation and subsequent acceptance (or declination) of prospective residents or clients, as well as for the comprehensive services they ultimately deliver. This critical responsibility encompasses ensuring that all staff members are appropriately qualified, rigorously trained, and that all facilities, resources, and equipment are entirely sufficient and suitable for the specific services being offered. It is important to emphasize that LSP/LAL does not supervise, manage, or direct the staff or day-to-day operations of any Participating Organization.
Responsibility for information posted. Each individual Participating Organization assumes full responsibility for the content it posts or that is displayed on its dedicated pages within our Sites. Such content does not, under any circumstances, represent the views or opinions of LSP/LAL, and LSP/LAL does not control, verify, or guarantee the accuracy or completeness of this information. LSP/LAL does not vouch for the veracity or comprehensiveness of any information posted by or on behalf of a Participating Organization and explicitly assumes no liability for any actions you may take in reliance on that information. Your decision to use such information is undertaken entirely at your own risk.
Availability, eligibility, and decisions. The determination of eligibility, acceptance into programs, capacity for services, and pricing structures are made solely and exclusively by each individual Participating Organization. LSP/LAL does not participate in or make any admission, enrollment, or service decisions. Furthermore, nothing presented on the Sites should be interpreted as LSP/LAL recommending or endorsing any particular organization.

NO ENDORSEMENT; NO AFFILIATION; NOT A BROKER
Life Senior Placement (LSP/LAL) exercises no independent judgment whatsoever regarding the quality of, and therefore does not recommend or endorse, any specific Participating Organization. LSP/LAL functions exclusively as an information and connection service. It is crucial to understand that LSP/LAL does not (1) directly place any person with any Participating Organization, (2) perform any medical assessments for or on behalf of any person or Participating Organization, or (3) participate in any decisions concerning final selection, admission, or service arrangements.
LSP/LAL is not a representative or agent for you, nor for any Participating Organization, and does not act on either party’s behalf in any capacity. LSP/LAL does not broker, sell, or lease space or services directly and is not a party to any transaction or agreement that may occur between you and any Participating Organization. All decisions regarding acceptance, services, and pricing are made solely by you and the Participating Organization involved.
Any shortlists, sort orders, “matches,” or connection options provided (including those generated by conversational or AI-assisted features) are offered purely for your convenience, based on your stated preferences and the information available. They are not to be construed as endorsements, guarantees, recommendations, or professional advice. It is incumbent upon you to conduct your own thorough due diligence and independently evaluate whether any Participating Organization is truly appropriate for your specific needs.
NO PROFESSIONAL ADVICE
All information, materials, content, and answers made available on the Sites or meticulously provided through the Services, encompassing websites, phone communications, SMS/text messages, email correspondence, and advanced conversational or AI-assisted features, are intended strictly for general informational purposes only. They are not, and should not be considered, a substitute for professional advice of any kind, and they do not constitute medical, legal, financial, insurance, or any other form of professional advice. This authorization remains in effect until you actively withdraw your consent by formally requesting that LSP/LAL no longer provide you with Services. It is important to note that LSP/LAL may continue to refer to and disclose your information when communicating with a Participating Organization as necessary for our normal Participating Organization business practices, including billing matters, until those matters are fully resolved and closed.
Communication channels. Certain sections of the Sites incorporate chat or voice features, including the dedicated home care experience, which are designed to facilitate seamless communications and connections with Participating Organizations. Your active use of these features constitutes your explicit consent to communications through these specific channels. Furthermore, your use remains subject to the provisions outlined in the sections titled “Recorded Telephone Communications” and “Consent to Automatic Telephone Dialing System,” in addition to our overarching Privacy Policy.
RECORDED TELEPHONE COMMUNICATIONS
Telephone communications that transpire between you and Life Senior Placement may be recorded or meticulously monitored for the express purpose of quality control. You hereby expressly consent to LSP/LAL recording and monitoring these telephone communications.
CONSENT TO AUTOMATIC TELEPHONE DIALING SYSTEM
You explicitly agree that LSP/LAL and Participating Organizations may utilize automatic telephone dialing systems and related advanced technology to contact you via call or text message at any telephone number you provide, including any mobile number, even if that number is currently listed on a Do Not Call registry.
You understand and acknowledge that standard message and data rates may apply, and that the frequency of messages you receive may vary. You retain the right to opt out of marketing text messages at any time by simply replying with the word “STOP.” You may withdraw your consent for automated calls by directly contacting us or by diligently following any provided opt-out instructions. It is important to note that your consent to receive automated calls or texts is not a prerequisite for using the Sites or the Services.
You represent and warrant that you are the current subscriber or the customary user of any telephone number you provide, and that you possess the full authority to grant this consent.
USE OF SITES; LIMITED LICENSE

Unless expressly stated otherwise, no rights are granted by implication, estoppel, or otherwise. LSP/LAL reserves the right to revoke this license at any time, with or without cause.
You shall not use the Sites or any Site Materials for any purpose other than their intended purpose, or in any manner that is unlawful or that causes harm to LSP/LAL or others. Unauthorized use may constitute a violation of intellectual property and communications laws and will immediately terminate the license granted herein, in addition to any other remedies legally available to LSP/LAL.
NO UNAUTHORIZED ACCESS OF AND/OR USE OF THE SITES AND/OR SERVICES
You unequivocally agree that you will not undertake, attempt to undertake, or encourage any third party to undertake any of the following actions in connection with the Sites or the Services. These examples are provided for illustrative purposes and are not exhaustive:
Utilize the Sites or Services for commercial purposes other than their intended personal use as defined under these Terms.
Engage in or promote any illegal activity whatsoever.

Mirror or frame the Sites or place pop-up windows over their pages or otherwise affect the display of their pages.
Upload, distribute, or publish anything that may be harmful to minors.
Train or enhance artificial intelligence models using any portion of the Sites, the Services, or their content.
Access, monitor, or copy the Sites or content using any robot, spider, scraper, or other automated means without our prior written permission, or bypass, circumvent, or interfere with any technical measures that control access to or protect the Sites.

Impersonate any person or entity, misrepresent your affiliation with any person or entity, or engage in fraudulent, deceptive, or misleading conduct.

INTELLECTUAL PROPERTY OWNERSHIP
All trademarks, service marks, and trade names are proprietary to Life Senior Placement and our esteemed licensors. Your business dealings or correspondence with any third party, along with any terms, conditions, warranties, or representations associated with such dealings, are solely and exclusively between you and that third party. You are strongly advised to exercise your own independent judgment and discretion regarding any third-party products or services you encounter on or through the Sites.
PUBLIC AREAS AND SUBMISSIONS
Should you choose to utilize any public area on the Sites that permits user posts, it is important to note that additional specific terms and conditions will apply. LSP/LAL EXPRESSLY AND UNEQUIVOCALLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES, OR COVENANTS STATING OR IMPLYING THAT THE MATERIALS PRESENTED ON THE SITES ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ENTIRELY ERROR-FREE. WHILE WE DILIGENTLY ENDEAVOR TO PROVIDE YOU WITH ACCESS THAT IS SAFE FROM VIRUSES, LSP/LAL DOES NOT REPRESENT, WARRANT, OR COVENANT THAT THE SITES OR THEIR ASSOCIATED SERVERS ARE COMPLETELY FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. IN NO EVENT WHATSOEVER SHALL LSP/LAL BE HELD LIABLE TO YOU FOR ANY PRODUCTS, SERVICES, CONTENT, OR INFORMATION PROVIDED THROUGH THE SITES OR OTHERWISE PROVIDED BY OR ON BEHALF OF LSP/LAL.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LSP/LAL OR THE ASSOCIATED PARTIES BE HELD LIABLE FOR ANY SPECIAL, PUNITIVE, EXEMPLARY, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND WHATSOEVER, THAT MAY ARISE OUT OF OR BE RELATED TO THE SITES OR SERVICES. IT IS IMPORTANT TO NOTE THAT SOME JURISDICTIONS, SUCH AS WASHINGTON STATE, DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, AND THEREFORE, THE ABOVE MAY NOT APPLY TO YOU TO THAT SPECIFIC EXTENT.
INDEMNIFICATION
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD LSP/LAL AND THE ASSOCIATED PARTIES HARMLESS FROM ANY AND ALL CLAIMS OR DEMANDS, INCLUDING REASONABLE ATTORNEYS’ FEES, THAT MAY ARISE OUT OF YOUR USE OF THE SITES AND/OR THE SERVICES, YOUR VIOLATION OF THESE TERMS, OR YOUR INFRINGEMENT OF ANY INTELLECTUAL PROPERTY OR OTHER RIGHT BELONGING TO ANY PERSON OR ENTITY.
TERMINATION
We reserve the right to terminate or suspend your access to the Sites at any time, with or without cause, and with or without prior notice. Upon such termination or suspension, your right to use the Sites will immediately cease.
CHANGES TO THE SITES AND/OR SERVICES
We reserve the right to change, modify, suspend, or cease providing the Sites and/or Services at any time without prior notice.
BETA FEATURES AND EARLY ACCESS
From time to time, LSP/LAL may offer features, content, or functionality that are explicitly identified as beta, preview, pilot, evaluation, or early access (collectively referred to as “Beta Features”). These Beta Features are provided solely for the purposes of evaluation and testing. They may be made available only for a limited duration, may not operate correctly or be fully functional, and may be subject to change, suspension, or discontinuation at any time without notice. Beta Features are provided “as is,” and “as available,” without any warranties, service levels, or support, in addition to the disclaimers set forth elsewhere in these Terms. If you choose to provide feedback or suggestions regarding Beta Features, you hereby grant LSP/LAL a nonexclusive, perpetual, irrevocable, royalty-free, worldwide license to use, copy, modify, and create derivative works from your feedback for any purpose whatsoever, without any compensation to you.
GOVERNING LAW AND FORUM SELECTION
Any dispute that may arise from the Sites or your use of the Services will be governed by and construed and enforced in accordance with the laws of the State of New York, except to the extent preempted by U.S. federal law, and without regard to conflict of law rules or principles that would otherwise cause the application of the laws of any other jurisdiction. Any dispute between the parties that is not subject to arbitration or cannot be heard in small claims court will be exclusively resolved in the state or federal courts located in New York County, New York.
CLAIMS SUBJECT TO MANDATORY AND BINDING ARBITRATION, CLASS WAIVER, AND JURY TRIAL WAIVER
With the exception of small claims disputes or claims specifically related to intellectual property, both you and we hereby waive our respective rights to a jury trial and to have any dispute arising out of or related to the Sites or Services resolved in a court of law. All other disputes must be submitted to binding arbitration administered by JAMS, and the Federal Arbitration Act and federal arbitration law shall apply. The most recent version of the JAMS Rules is incorporated herein by reference. You and we mutually agree that any dispute will be resolved solely through individual action and will not be brought as a class arbitration, class action, or any other representative proceeding. For any arbitration you initiate, you will be responsible for paying the filing fee up to a maximum of USD $250 if you are a consumer; we will cover the remaining JAMS fees and costs. For any arbitration we initiate, we will pay all JAMS fees and costs. You retain the right to an in-person hearing in your hometown area. You may opt out of this binding arbitration agreement within 30 days after you first accept these Terms by emailing Dov@medical.life with your full name and address and a clear statement of your intent to opt out.
Severability; forum for non-arbitrable claims. If any part of this arbitration agreement is found to be invalid or unenforceable, that specific part will be severed, and the remainder of the agreement will remain in full force and effect, except as explicitly provided below. If the class action waiver contained within this section is found to be unenforceable as to a particular claim or request for relief, then the arbitration agreement will be unenforceable solely as to that claim or request for relief, and that claim or request for relief must then proceed in court.
Public injunctive relief. If a claim for public injunctive relief is permitted by law to be brought in a court of competent jurisdiction, the parties agree that any such claim will be severed from the arbitration and stayed in court pending the full completion of the arbitration of all other claims.
